# Deepractice Terms of Service

These Terms of Service govern access to and use of Deepractice websites, cloud services, APIs, AI agent runtime, model routing, developer tools, hosted workspaces, and related services (the "Services").

By creating an account, using the Services, or accessing the Services through a customer workspace, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

Praxis Global Limited(知行環球有限公司) is the customer-facing provider and overseas operator of the Services. 南京深度实践人工智能科技有限公司 owns or licenses certain underlying technology, software, documentation, and platform know-how used to provide the Services, and may support the Services as an authorized technical service affiliate.

## 1. Service Scope

Deepractice provides an AI agent cloud platform for building, running, evaluating, and operating AI-powered workflows. The Services may include identity and tenant management, model routing, agent runtime, document processing, browser or sandbox execution, storage, registry, API access, billing, telemetry, diagnostics, and related operational features.

Some Services are experimental or offered in preview. Preview features may change, break, be suspended, or be discontinued without the same guarantees as generally available Services.

## 2. Accounts and Organizations

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account, API keys, organization workspaces, and connected third-party credentials.

You may not share accounts in a way that bypasses access controls, usage limits, billing, security controls, or legal restrictions. If you believe your account or API key has been compromised, notify us promptly.

## 3. Customer Content

"Customer Content" means prompts, messages, files, code, documents, credentials, configurations, tool outputs, agent instructions, datasets, and other content that you or your end users submit to the Services.

As between you and Deepractice, you retain ownership of Customer Content. You grant Deepractice the rights necessary to host, process, transmit, store, analyze, display, and otherwise use Customer Content to provide, secure, support, bill, maintain, and improve the Services, and to comply with law.

You are responsible for ensuring that you have the rights and permissions needed to submit Customer Content and to instruct Deepractice to process it.

## 4. Platform Data and Service Improvements

Deepractice may generate operational, diagnostic, billing, routing, performance, safety, security, abuse-prevention, aggregate, anonymized, or derived data through operation of the Services ("Platform Data").

Deepractice may use Platform Data to operate, secure, monitor, debug, bill, analyze, and improve the Services, including model routing, agent reliability, product quality, abuse prevention, and platform performance.

Deepractice does not claim ownership of your original Customer Content. Platform Data does not include Customer Content in a form that identifies you, your organization, or an individual unless used as permitted under these Terms, our Privacy Policy, a data processing agreement, or another written agreement.

## 5. AI Outputs

AI-generated outputs may be inaccurate, incomplete, offensive, unsafe, or unsuitable for your use case. You are responsible for evaluating outputs before relying on them, especially for legal, medical, financial, employment, housing, insurance, safety, education, public-sector, or other high-impact decisions.

To the extent permitted by law and subject to your compliance with these Terms, Deepractice assigns to you any rights it may have in outputs generated for you by the Services. This does not affect third-party rights, model provider terms, open-source licenses, or restrictions applicable to inputs, tools, or connected services.

## 6. Third-Party Services and Models

The Services may interoperate with third-party model providers, infrastructure providers, payment processors, identity providers, storage providers, open-source components, APIs, tools, and customer-selected integrations.

If you connect third-party services or provide your own API keys, you authorize Deepractice to transmit the relevant Customer Content, instructions, metadata, and credentials to those services as needed to perform your requested action. Your use of third-party services may be subject to their terms and policies.

## 7. Acceptable Use

You must comply with the Deepractice Acceptable Use Policy and all applicable laws. You may not use the Services to violate rights, compromise security, distribute malware, evade safety systems, conduct unlawful surveillance, generate illegal content, or operate high-risk systems without appropriate safeguards.

We may investigate suspected abuse and may suspend or restrict access when reasonably necessary to protect users, Deepractice, third parties, or the Services.

## 8. APIs, Automation, and Agents

You are responsible for agents, automations, tools, workflows, API keys, and external actions configured through your account or organization. You must design safeguards appropriate to the risk of your use case, including human review where needed.

You may not use the Services to bypass rate limits, security controls, billing controls, or third-party terms.

## 9. Fees, Billing, and Taxes

Paid Services are subject to applicable order forms, checkout terms, subscription terms, usage-based pricing, quotas, and payment policies. You authorize Deepractice and its payment processors to charge applicable fees and taxes.

Unless otherwise stated, fees are non-refundable except as required by law or expressly stated in the Subscription and Refund Terms.

## 10. Suspension and Termination

You may stop using the Services at any time. Deepractice may suspend or terminate access if you breach these Terms, create legal or security risk, fail to pay fees, or use the Services in a way that may harm Deepractice, users, third parties, or the Services.

Upon termination, your right to use the Services ends. Certain provisions survive termination, including payment obligations, confidentiality, intellectual property, disclaimers, limitations of liability, dispute resolution, and terms needed for continued data processing or legal compliance.

## 11. Confidentiality

Non-public information exchanged through enterprise, support, security, or commercial interactions must be protected using reasonable care and used only for the purpose for which it was disclosed.

## 12. Disclaimers

The Services are provided "as is" and "as available" to the fullest extent permitted by law. Deepractice disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

AI systems and agent workflows are probabilistic and may fail. You are responsible for determining whether the Services are suitable for your use case.

## 13. Limitation of Liability

To the fullest extent permitted by law, Deepractice will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, loss of data, business interruption, or costs of substitute services.

Except for amounts you owe, confidentiality obligations, misuse of the Services, or matters that cannot be limited by law, each party's aggregate liability will not exceed the greater of USD 100 or the amount paid by you to Deepractice for the Services giving rise to the claim during the 12 months before the event.

## 14. Indemnity

You will defend and indemnify Deepractice against claims arising from Customer Content, your use of the Services, your products or end users, your breach of these Terms, or your violation of law or third-party rights.

## 15. Changes

We may update these Terms from time to time. We will provide notice where required or where changes are material. Continued use after the effective date means you accept the updated Terms.

## 16. Governing Law and Disputes

These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law rules. The courts or arbitral forum located in the courts of Hong Kong SAR will have exclusive jurisdiction, unless applicable law requires otherwise.
